Code of Conduct

BY-LAW NUMBER 1

This By-Law is designed for the effective management of the Toodyay Friends of the River Inc (the Association), and has been developed under Rule 12 of the Constitution. It does not form part of the Rules of the Association, and cannot be inconsistent with those Rules or the Act.

1. PURPOSE

The purpose of this By-Law is to promote a standard of sound ethical values, to ensure the Association is accountable and transparent and conducts its meetings and its business in an environment of openness and honesty and with good corporate governance.

2. RESPONSIBILITY

Membership of the Association is conditional on the agreement to abide by the Constitution (Rules) and By-Laws of the Association.

3. PERSONAL BEHAVIOUR

Members will treat each other with courtesy and respect, and act loyally to the Association and in good faith. They will demonstrate personal integrity and reliability as Committee Members, and will maintain confidentiality.

4. FINANCIAL RESPONSIBILITY

Members, and in particular Committee Members will remember that the funds of the Association belong to the Members as a whole. They will not disperse or cause to be dispersed any of the Associations equity on property or activities that are not in the best interest of the Members as a whole.

The Association shall only raise funds for the purpose of supporting the Objects outlined in Rule 3.

5. CONFLICT OF INTEREST

No Member shall place personal interests before the interests of the Association, nor will they use their position or membership of the Association for personal gain. Members will:

5.1 Openly declare matters of a private interest such as financial, relationships and membership of other groups that may conflict or be perceived to conflict with the Associations Objects, or their duties as Association Members

5.2 Record any issues of conflict to ensure they are transparent and capable of review

5.3 Disqualify themselves from any Associations discussions and decisions where a conflict of interest has or could occur

5.4 Where a conflict or perceived conflict is of an ongoing nature, then voluntarily disqualify themselves from the Association until the conflict or perceived conflict has been resolved or no longer exists
